Please review this Terms of Service and End-User License Agreement ("Terms") thoroughly, as it outlines critical details about your legal rights, remedies, and responsibilities. If you do not fully accept these Terms, you must immediately cease accessing the Website, close the Application, and stop using the Services (as defined below).
Welcome to N'RICH INC, an integrated platform designed to simplify management for youth sports, camps, and educational programs. The N'RICH INC platform ("Platform") is accessible to: (a) administrators who utilize N'RICH INC's management tools to engage with participants; and/or (b) participants themselves. For the purposes of this Agreement (as defined below), "participants" refers to N'RICH INC account holders who are: (i) individuals aged eighteen (18) or older participating in youth sports, camps, or educational programs; (ii) parents or legal guardians ("Guardians") of participants under eighteen (18); or (iii) individuals aged thirteen (13) to eighteen (18) who have been explicitly authorized by both the relevant administrator and their Guardian ("Youth Participants") to use the Services (as defined below); provided, however, that Youth Participants are strictly prohibited from accessing and/or using the Website.

For the N'RICH INC Privacy Policy for Youth Participants ("Youth Participant Privacy Policy"), please contact us at legal@nrichinc.com. As a Guardian, you are fully responsible and liable for any actions or omissions by your Youth Participants related to their use of the Services.
These Terms form a binding agreement between you and N'RICH INC, a Delaware corporation located at 2200 Wilson Blvd UNIT 320, Arlington, VA 22201 ("N'RICH INC," "we," "us," or "our"). These Terms, along with the Youth Participant Terms, the N'RICH INC Privacy Policy ("Privacy Policy"), the Youth Participant Privacy Policy, and any other relevant N'RICH INC policies, terms, or agreements, including all documents explicitly referenced herein (collectively, the "Agreement"), govern your access to and use of: (i) the Platform; (ii) the website at https://nrichinc.com (the "Website"), the N'RICH INC mobile application (the "Application"), available on iPhone®, iPad®, iPod Touch®, Android®, and other mobile devices (collectively, "Mobile Devices") through the Apple® App Store, Google Play® store, and other applicable platforms (the "App Stores"); (iii) the content, features, and services provided through the Platform, Application, and/or Website (collectively, "Content"); (iv) N'RICH INC's social media profiles on third-party platforms, including Facebook®, Instagram®, X®, and YouTube® (collectively, "Social Media Profiles"); and (v) any additional services or products offered by N'RICH INC, whether you register as a user, and whether you are an administrator or participant. The Platform, Website, Application, Content, Social Media Profiles, and other services or products are collectively referred to as the "Services." The terms "you" or "your" refer to administrators, participants, Guardians, Youth Participants, and all visitors, users, or others accessing the Services.
By accessing the Services, you agree to be bound by the Agreement in its entirety. If you do not agree to the Agreement, you must not access or use the Services.
If you are entering this Agreement on behalf of an entity or organization, you confirm that you have the authority to bind that entity/organization to the Agreement, and "you" or "your" will refer to that entity/organization. If you lack such authority, you are not permitted to access or use the Services.
THE AGREEMENT INCLUDES WARRANTY DISCLAIMERS, LIABILITY LIMITATIONS, RELEASES, A CLASS-ACTION WAIVER, AND A MANDATORY ARBITRATION REQUIREMENT FOR ANY CLAIMS AGAINST N'RICH INC, ITS PARENT, SUBSIDIARIES, AFFILIATES, AND MARKETING PARTNERS, WHO ARE EXPRESS THIRD-PARTY BENEFICIARIES OF THE ARBITRATION PROVISION. THESE PROVISIONS ARE FUNDAMENTAL TO THE AGREEMENT.
NEW JERSEY RESIDENTS ARE ADVISED TO REVIEW THEIR RIGHTS UNDER THE AGREEMENT, AS OUTLINED IN THE NEW JERSEY TRUTH-IN-CONSUMER CONTRACT WARRANTY AND NOTICE ACT ("TCCWNA").

Facebook® and Instagram® are registered trademarks of Meta Platforms, Inc. ("Facebook"). X® is a registered trademark of X Corp. ("X"). N'RICH INC is not affiliated with Apple, Facebook, Google, or X, and the Services are not endorsed, managed, or sponsored by Apple or Google.
You confirm that: (A) you have read and understood all terms, conditions, policies, provisions, disclosures, and disclaimers in the Agreement; (B) the Agreement carries the same legal weight as a signed contract; (C) you explicitly accept and agree to abide by the Agreement; and (D) you have independently evaluated the Agreement and entered it without relying on any representations, guarantees, or statements beyond those explicitly stated in the Agreement.
In addition to these Terms and the Privacy Policy, as well as the Youth Participant Terms and Youth Participant Privacy Policy where applicable, your use of the Services may be subject to additional terms or privacy policies. Specifically, administrators' use of the Services may involve amended or supplemental terms agreed upon directly with N'RICH INC that modify or supplement the Agreement.
N'RICH INC reserves the right to revise, amend, or remove portions of these Terms and/or the Youth Participant Terms at its sole discretion, without prior notice, except that changes to arbitration provisions, class action prohibitions, or other dispute resolution provisions (collectively, "Dispute Resolution Provisions") will not apply to disputes arising before the change. If we make changes, we will post the updated Terms and/or Youth Participant Terms on the Website and Application home pages, indicating the last revision date at the bottom (except for disputes arising before changes to Dispute Resolution Provisions, which will be governed by the provisions in effect at the time of the dispute). Your continued use of the Services after such changes constitutes acceptance of the updated Terms and/or Youth Participant Terms. If you do not agree to the revised Terms and/or Youth Participant Terms, you must not use or access the Services. It is your responsibility to periodically check the Website and Application for updates to the Terms and/or Youth Participant Terms.
N'RICH INC provides a Platform that enables administrators of youth sports, camps, and educational programs to leverage digital tools for management and communication with participants and other stakeholders. We may also collaborate with third-party entities to provide participants and administrators with exclusive events, opportunities, products, or services. To fully utilize the Services' features, you must create a member account ("Primary Account") as either an administrator or participant and: (a) for administrators, designate an organization website ("Organization Website"); and/or (b) for authorized Youth Participants, with Guardian approval, open a Youth Participant account ("Youth Participant Account," collectively with Primary Account, "Member Account"); provided, however, that Youth Participants are not permitted to access the Website. When creating a Member Account, you may be required to provide: (i) full name; (ii) email address; (iii) phone number; (iv) organization name (for administrators); (v) role within the organization (for administrators); (vi) role in the program (for participants); (vii) number of participants (for administrators); (viii) organization website (for administrators); (ix) organization zip code (for administrators); and (x) the name and email of the Youth Participant (for Guardians authorizing their child). All information provided must be accurate, current, and complete.
N'RICH INC is not responsible or liable for the availability, timeliness, security, or reliability of the Services. We may add or remove features, suspend, restrict, or terminate your access to the Services, with or without notice, for any reason, including non-compliance with the Agreement or suspected misconduct, without liability. We may also modify, suspend, or discontinue the Services or impose new limits, with or without notice, without liability.
N'RICH INC disclaims, and administrators accept, all responsibility and liability for the use of Organization Websites by participants or third parties. N'RICH INC also disclaims, and participants accept, responsibility and liability for the use of Organization Websites, including data usage and associated privacy practices.
Your use of the Services and its features is subject to the Agreement and any applicable third-party terms.
You agree that all information provided for registration or use of the Services is accurate, current, and complete, and is governed by our Privacy Policy and/or Youth Participant Privacy Policy, where applicable. You consent to all actions we take with your information in accordance with these policies. When providing or accessing information, including personal or participant-related data, you represent, warrant, and covenant that: (a) you are providing or accessing only your own information or information you are authorized to share with third parties, with all necessary consents; (b) as a Guardian authorizing a Youth Participant, you have the authority and consents to share their information with N'RICH INC; (c) the use of such information by N'RICH INC will not infringe intellectual property rights, violate third-party rights, or breach any laws; and (d) you will not provide information or use the Services in a manner that is harmful, fraudulent, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable, or that compromises account security.
You must not use the Services for illegal or unauthorized purposes or violate any laws in your jurisdiction, including copyright laws. Access the Services only through N'RICH INC-provided applications or standard web browsers; automated tools for accessing, uploading, or downloading content are prohibited.
You must be eighteen (18) or older to create a Primary Account. Only Guardians may: (i) authorize Youth Participant Accounts for individuals aged thirteen (13) to eighteen (18); and/or (ii) submit information about Youth Participants in this age range. Fraudulent accounts will be terminated.
Individuals are prohibited from accessing the Services with "Jail-Broken Mobile Devices," defined as Mobile Devices running Android® with software restrictions removed via unauthorized procedures not endorsed by the manufacturer.
If you receive a username, password, or other security information, you must keep it confidential, sharing your username only with your organization. You agree that, except with your organization: (a) your Member Account is personal, and you will not allow others to access the Services using your account credentials; provided, however, that Guardians may access their Youth Participant's account; and (b) you will promptly notify us of any unauthorized access or security breaches.
N'RICH INC is not liable for disputes over Member Account or Organization Website ownership. In case of disputes, we will not alter ownership until we can reasonably identify the rightful owner. We may request documentation, such as business licenses, government-issued IDs, payment details, or other verifiable records, to confirm ownership. N'RICH INC may, at its discretion, determine the rightful owner and transfer the account, with such decisions being final. If ownership cannot be determined, we may terminate the account or Organization Website.
You accept this ownership policy, agree not to pursue legal action against N'RICH INC regarding this policy or ownership decisions, agree to dismiss any such claims, and agree to indemnify and release N'RICH INC from liability or damages arising from this policy.
Either N'RICH INC or you may terminate or cancel your Member Account or Organization Website at any time, with or without notice. Cancellation of your Member Account is your sole remedy for disputes with N'RICH INC.
Upon termination, you may use available N'RICH INC tools to export your data under certain conditions.
N'RICH INC may charge fees for the Services or specific features and may adjust these fees at its discretion. No refunds will be provided for unused fees upon termination of your Member Account, whether by you or N'RICH INC. For purchases (each, a "Transaction"), you must provide accurate payment information, which will be handled per our Privacy Policy. You agree to pay all charges incurred through your Member Account at the applicable rates, including taxes. Transactions are subject to additional terms, and you are responsible for complying with applicable laws. N'RICH INC may cooperate with law enforcement, providing submitted information as needed. You must use authorized payment methods and not conceal your identity. N'RICH INC may share your information with third parties to facilitate Transactions, and verification may be required.
If we cannot verify your information or payment details, your account may be canceled, pending or future purchases may be denied, and you may be barred from the Services. You authorize N'RICH INC to charge your payment method for all applicable fees per the Transaction's payment schedule. Notify N'RICH INC of payment method changes to avoid service interruptions. Fees must be paid in U.S. Dollars.
You agree to pay your account balance promptly, including applicable taxes. Overdue amounts (more than 30 days) will incur 1.5% monthly interest (or the maximum allowed by law). You are liable for collection fees, including attorneys' fees, incurred by N'RICH INC. N'RICH INC may charge your payment method for balances over 60 days old. Notify N'RICH INC of billing disputes within 60 days of their appearance on your statement, or you waive the right to dispute them.
You are responsible for all Transaction terms, including payment, returns, warranties, shipping, and taxes, which must comply with applicable laws. Disputes between administrators and participants must be resolved directly, and N'RICH INC is not liable for such matters.
(a) Installation
N'RICH INC provides clear disclosure about the Application's functions before download and installation, requiring user consent. The Application can be downloaded via the Website or participating App Stores for Android® devices. N'RICH INC is not liable for claims related to your use or inability to use the Application.
(b) Uninstall
The Application can be uninstalled using standard "add/remove" functions on your Mobile Device, though a restart may be required to fully remove it. For assistance, contact legal@nrichinc.com.
THE APPLICATION IS NOT SPYWARE OR ADWARE. It does not deliver advertisements to your Mobile Device, though third-party ads may appear within the Application.
(c) App Stores
This Agreement is between you and N'RICH INC, not the App Store. N'RICH INC is solely responsible for the Application, and App Stores have no obligation to provide maintenance or support. App Store use is governed by their terms and conditions.
(d) Remote Access, Updates, and Bug Fixes
N'RICH INC may (but is not required to) add features, provide technical support, or issue updates, bug fixes, or patches. The Application communicates with N'RICH INC servers periodically. Updates may be required for new versions or features and may occur automatically or with notice, at N'RICH INC's discretion. You consent to these updates/support services. Denying access may limit Application functionality. You may need to accept the current Agreement to use updated versions. N'RICH INC is not obligated to provide subsequent versions or support.
(e) Third-Party Software
Third-party software or plug-ins provided with the Application are used at your sole risk and are governed by the third-party's terms, conditions, and privacy practices. N'RICH INC is not responsible for third-party software or related issues.
(f) Application License Grant/Termination
Subject to the Agreement, N'RICH INC grants you a personal, non-exclusive, non-transferable, non-sublicensable license to install and use the Application in object code format on Mobile Devices you own or control, solely for accessing the Services while your account is active. You receive licensed rights only. N'RICH INC may terminate this license or modify the Application at any time, with or without notice. The license terminates if you violate the Agreement, and you must uninstall the Application. You may not network the Application, reverse engineer, create derivative works, or disable security measures.
(g) Export Restrictions
You agree not to transfer or use the Application in violation of U.S. or other applicable export laws.
The Services may include links to third-party websites or services (including Organization Websites) and features for interacting with third parties ("Interactive Features"). Youth Participants with valid accounts may use Interactive Features to communicate with their organization's personnel ("Youth Participant Messaging"), with Guardians able to access all logs. Guardians should report inappropriate behavior to N'RICH INC and authorities.
Accessing third-party websites or interacting via the Services is at your own risk. N'RICH INC is not responsible for third-party content, services, privacy policies, or practices. Your interactions with others through the Services are your responsibility, and you should conduct due diligence before engaging. N'RICH INC is not liable for harm or losses from third-party dealings, including payments or deliveries. Disputes with third parties release N'RICH INC and its affiliates from liability. California residents waive California Civil Code §1542, and others waive similar statutes.
You are responsible for all data, content, or information ("Member Content") uploaded, posted, or stored through your Member Account, Organization Website, Interactive Features, surveys, or other Service uses. You must provide required warnings and disclosures and ensure data recoverability.
N'RICH INC does not control Member Content and does not guarantee its accuracy or quality. We may, at our discretion, review, edit, remove, or refuse Member Content; act on content violating the Agreement or laws; disclose your identity or information for legal compliance; or terminate access for violations. N'RICH INC is not obligated to monitor Member Content and is not liable for it.
By posting Member Content, you grant N'RICH INC and its affiliates a worldwide, royalty-free license to use, store, distribute, modify, and create derivative works of Member Content to provide and improve the Services, use anonymized metrics for analytics, and use de-identified content for development or other purposes, including after Service termination, per our Privacy Policy. You confirm you have the rights to grant this license.
Personally identifiable information is handled per our Privacy Policy and/or Youth Participant Privacy Policy.
Feedback, suggestions, or ideas ("Submissions") submitted (except by Youth Participants) are non-confidential, and N'RICH INC may use or disclose them without obligation, including for Service improvements or marketing. Submissions become N'RICH INC's property, and you are not entitled to compensation.
As an administrator, you are responsible for: (1) posting required privacy policies on your Organization Website; (2) making disclosures to users; and (3) obtaining consents for data collection and sharing. You must not collect or share sensitive personal information (e.g., Social Security numbers, credit card details) with N'RICH INC unless through designated secure systems. If such data is shared insecurely, N'RICH INC may delete it. You are responsible for any security breach notifications and compliance if you violate this provision.
You agree not to use the Services illegally or in violation of laws. You must not upload or transmit Member Content or other content that is illegal, fraudulent, defamatory, obscene, threatening, harassing, or otherwise objectionable; impersonates others; breaches privacy; includes unauthorized advertisements or malicious software; violates intellectual property rights; contains hate speech or discriminatory content; constitutes stalking or harassment; implies N'RICH INC endorsement; collects personal information without consent; uses automated tools to data mine; or disrupts the Services.
The Services and their content, including software, user interfaces, text, graphics, and design, are owned by N'RICH INC or its licensors, protected by U.S. and international intellectual property laws, and intended for personal, non-commercial use per the Agreement. You may not copy, modify, distribute, or reverse engineer Service content.
Administrators grant N'RICH INC a non-exclusive right to use their organization's trademarks and logos for promotional and Service-related purposes.
We respect intellectual property rights and may disable or terminate accounts of users infringing others' rights. To report copyright or intellectual property infringement, provide the following to our Copyright Agent: (a) your signature; (b) a description of the infringed work; (c) its location on the Services; (d) your contact details; (e) a good-faith statement that the use is unauthorized; and (f) a statement under penalty of perjury that your notice is accurate and you are authorized to act.

N'RICH INC IS NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR OTHER DAMAGES, INCLUDING PERSONAL INJURY, EMOTIONAL DISTRESS, LOSS OF PROFITS, OR DATA, ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES OR INTERACTIONS WITH THIRD PARTIES, EVEN IF FORESEEABLE.
YOUR SOLE REMEDY FOR DISSATISFACTION IS TO STOP USING THE SERVICES. N'RICH INC'S TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE GREATER OF FEES PAID BY YOU IN THE PRIOR SIX (6) MONTHS OR $1,000.
THIS DOES NOT AFFECT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
Users (except Youth Participants) agree to defend, indemnify, and hold harmless N'RICH INC, its affiliates, and their respective officers, directors, employees, and agents from claims, liabilities, damages, or costs (including attorneys' fees) arising from: (i) unauthorized use or misuse of the Services; (ii) violation of the Agreement or additional terms; or (iii) infringement of intellectual property or other rights, including via Member Content.
To the extent permitted by law, you release N'RICH INC and waive all claims arising from your use of the Services, including intellectual property, privacy, publicity, or moral rights claims related to information or content you provide.
THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. N'RICH INC DOES NOT WARRANT THE COMPLETENESS, SECURITY, RELIABILITY, ACCURACY, OR AVAILABILITY OF THE SERVICES OR CONTENT, NOR THAT THEY WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES. N'RICH INC IS NOT RESPONSIBLE FOR MAINTAINING OR TRANSMITTING DATA YOU INPUT, AND SUCH DATA MAY BE DELETED UPON AGREEMENT TERMINATION. YOU ARE RESPONSIBLE FOR BACKING UP YOUR DATA.
N'RICH INC DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
THIS DOES NOT AFFECT WARRANTIES THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
Initiating a Formal Claim
All disputes or claims between you and N'RICH INC shall be resolved per these Terms ("Arbitration Agreement"). Initiating claims outside this process violates the Agreement, and N'RICH INC may seek dismissal. Before formal proceedings, send a "Notice of Dispute" to legal@nrichinc.com. We will attempt informal resolution within 30 days. If unresolved, either party may pursue arbitration.
All disputes shall be resolved through final and binding arbitration, governed by the Federal Arbitration Act. Arbitration will follow JAMS General Arbitration Rules & Procedures, modified by this Agreement, unless N'RICH INC opts for JAMS Mass Arbitration Procedures for 75 or more similar claims. Review JAMS rules at www.jamsadr.com. Arbitration occurs in Arlington, Virginia, and for claims of $10,000 or less, you may choose in-person, telephone, or submission-based proceedings.
The arbitrator will apply Delaware law, and their award is final, with limited appeal rights under the Federal Arbitration Act. JAMS rules govern arbitration fees, with costs shared until the arbitrator awards legal costs to the prevailing party.
EXCEPT FOR MASS ARBITRATION, NEITHER PARTY MAY PURSUE CLASS OR REPRESENTATIVE ACTIONS. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER CLASS PROCEEDINGS, AND RELIEF IS LIMITED TO THE INDIVIDUAL PARTY'S CLAIM.
If the class action prohibition is deemed invalid, the entire Arbitration Agreement is void. Other provisions remain in effect.
Limitation on Time to File Claims
ANY CLAIM ARISING FROM THE AGREEMENT OR SERVICES MUST BE FILED WITHIN ONE (1) YEAR OF ACCRUAL, OR IT IS PERMANENTLY BARRED.
Report Agreement violations to legal@nrichinc.com.
You permit N'RICH INC and its affiliates to use your information per our Privacy Policy and/or Youth Participant Privacy Policy. Administrators must use participant data per their own privacy policy and N'RICH INC's policies, ensuring equivalent protection. N'RICH INC is not liable for data use or loss by administrators.
No waiver by N'RICH INC of any Agreement term constitutes a continuing waiver or waiver of other terms. Failure to enforce a provision does not waive it.
If any Agreement provision is deemed invalid or unenforceable, it will be limited or eliminated to the minimum extent, and the remaining provisions remain in effect.
These Terms, Privacy Policy, Youth Participant Terms, Youth Participant Privacy Policy, and any other agreements with N'RICH INC regarding the Services constitute the entire agreement, superseding all prior understandings.
N'RICH INC is not liable for failure to perform due to circumstances beyond its control. These Terms and related policies are binding contracts. No agency, partnership, or employment relationship is created, and you cannot bind N'RICH INC.
